Terms of Service

Last updated: 11 June 2025

1. Parties

These Terms govern use of the website and services provided by Verity Studio, [LEGAL ENTITY NAME], [REGISTERED ADDRESS], VAT: [NUMBER] ("Service Provider"), to the client ("Client").

2. Scope of Services

The Service Provider offers web design, search engine optimisation (SEO), and paid advertising management (Google Ads, Meta Ads). The precise scope of each engagement is defined in a separate agreement or statement of work.

3. Free Audit

The free audit is offered without obligation and does not constitute a service contract. The Service Provider reserves the right to decline an audit request without reason. Audit findings are informational and do not constitute legal or financial advice.

4. Results and Warranties

The Service Provider uses best efforts to achieve results. No historical data presented on this website (traffic growth, return on ad spend, enquiry volumes) constitutes a guarantee of similar results for the Client. Results depend on many factors outside the Service Provider's control, including competitor activity, Google algorithm changes, and market conditions.

Statistics presented on this website (e.g. "3.8× average return on ad spend") are based on historical client data and represent past performance, not projections.

5. Intellectual Property

Upon full payment, the Client receives full ownership rights to all bespoke materials created for their project (website code, content, graphics), unless the agreement specifies otherwise. Third-party licensed elements (fonts, stock images, plugins) remain subject to their own licence terms.

6. Limitation of Liability

To the maximum extent permitted by law, the Service Provider's total liability for any claims arising from the services is limited to the fees paid by the Client in the 3 months preceding the event giving rise to the claim. The Service Provider is not liable for lost profits, data loss, or indirect damages.

7. Governing Law and Dispute Resolution

These Terms are governed by the laws of [COUNTRY OF INCORPORATION]. Any disputes shall be submitted to the courts with jurisdiction over the Service Provider's registered seat, unless mandatory consumer protection law requires otherwise.

Clients who are consumers (natural persons acting outside a trade or business) in the EU may use the European Commission's ODR platform: https://ec.europa.eu/consumers/odr

8. Changes to These Terms

We reserve the right to update these Terms. Material changes will be posted on this page with at least 14 days' notice. Continued use of the services after that date constitutes acceptance of the updated Terms.
